Corporate Governance Officer

About the role

We are seeking an experienced Corporate Governance Officer to take full ownership of subsidiary governance for a multinational group. The role is hands‑on and autonomous, overseeing a portfolio of legal entities in Switzerland and across multiple jurisdictions.

Key responsibilities

• Manage the full statutory calendar for the portfolio, including board and shareholder meetings, filings and renewals.
• Lead Swiss Annual General Meeting (AGM) cycles from preparation through follow‑up.
• Coordinate corporate actions such as incorporations, restructurings, dissolutions and the related resolutions, powers of attorney and constitutional documents.
• Maintain entity records, directors‑and‑officers registers, signatory lists and group structure charts.
• Oversee notarisation, apostille and legalisation processes across jurisdictions to ensure compliance.

Required profile

• Minimum 6 years of experience in subsidiary governance or a company secretarial function.
• Strong knowledge of Swiss and international corporate law fundamentals.
• Fluent in English and French.
• Chartered Secretary / ICSA‑CGI or paralegal qualification is a plus.
• Precise, self‑sufficient and comfortable managing a high‑volume portfolio without close supervision.
