Senior Legal Counsel

About the role

Join Sulzer’s Group Legal Team in Winterthur as a Senior Legal Counsel. Reporting to the Head of Group Legal / Deputy General Counsel, you will act as a trusted advisor to senior leadership and key corporate functions across the globally listed industrial group.

Key responsibilities

• Lead and coordinate domestic and cross‑border M&A workstreams, including acquisitions, divestments, joint ventures and strategic investments.
• Draft, review and negotiate complex commercial agreements such as joint‑venture arrangements, technology contracts, sales terms and procurement agreements.
• Advise on financing transactions, including bond issuances and credit facilities, and support Treasury on financing matters.
• Oversee litigation, arbitration and other dispute‑resolution matters, managing external counsel.
• Prepare and execute Annual General Meetings and contribute to the legal review of the Annual and Non‑Financial Reports.
• Support the Head of Group Legal / Corporate Secretary with Board, committee and Executive Committee matters.

Required profile

• Master of Law degree with admission to the Swiss Bar.
• Minimum 5+ years post‑qualification experience, preferably in a leading law firm or an international industrial legal department.
• Proven experience in M&A and Swiss corporate law; exposure to antitrust, sanctions, capital markets and stock‑exchange regulations is a plus.
• Business‑oriented mindset with strong judgment and ability to balance legal risk and commercial objectives.
• Excellent project and stakeholder management skills, comfortable interacting with senior executives and board members.
• Digitally savvy with interest in technology, AI‑enabled solutions and modern ways of working.
