Legal Counsel – Commercial Contracts (Swiss Law)

About the role

EMSEMS is seeking an experienced Legal Counsel to lead its commercial contracting activities. You will be the primary in‑house point of contact for drafting, reviewing, and negotiating a wide range of agreements, ensuring they align with Swiss law and the company’s business objectives.

Key responsibilities

• Draft, review, and negotiate commercial agreements such as supply, loan, research, collaboration, speaker, consulting, service contracts and NDAs, primarily governed by Swiss law.
• Support internal departments (Sales, Procurement, R&D, Quality, Finance) throughout the contract lifecycle from term sheet to post‑execution management.
• Provide clear, pragmatic legal advice on contractual and commercial matters.
• Handle Swiss law disputes and coordinate with external counsel when necessary.
• Monitor legal and regulatory developments affecting the medical device industry and advise on implications.
• Maintain and improve contract templates, playbooks, and internal legal processes.

Required profile

• Swiss law degree with admission to a Swiss cantonal Bar.
• 3‑5 years post‑qualification experience in an in‑house legal role handling commercial contracts under Swiss law.
• Fluent in French and English (written and spoken); German is a plus.
• Strong negotiation abilities and a business‑oriented mindset.
• Excellent organizational skills and ability to manage multiple workstreams independently.

Required skills

• Swiss contract law expertise.
• Knowledge of medical device regulatory frameworks (MDR, ISO 13485).
