Legal Counsel – Financing & Commercial Law

About the role

We are seeking a commercially‑minded Legal Counsel to join a fast‑paced commodity trading and financing business in Geneva. Reporting to the Global Legal Financing Manager, you will provide day‑to‑day legal support on financing transactions and ad‑hoc corporate and commercial matters.

Key responsibilities

• Negotiate and review financing agreements, including repo, inventory, receivables, supply‑chain, bilateral trade finance and syndicated banking arrangements.
• Draft and negotiate commercial contracts such as agency, brokerage, clearing, hedging, warehousing and logistics agreements.
• Support facility amendments, waivers, consents, renewals, extensions and refinancings.
• Coordinate transaction execution with external counsel, lenders and internal stakeholders.
• Prepare transaction documentation, corporate authorisations, resolutions, certificates and other execution deliverables.
• Manage conditions precedent, closing processes and liaise with counterparties and lenders.
• Collaborate with Compliance and Responsible Business teams on financing‑related initiatives.
• Assist the Global Legal Financing Manager and Chief Legal Officer on strategic projects.

Required profile

• Swiss or UK law degree with qualification (Swiss Bar and/or England & Wales preferred).
• 4–7 years post‑qualification experience in a leading law firm, financial institution or commodity trading company.
• Strong commercial awareness and ability to work autonomously in a dynamic environment.

Required skills

• Negotiation of financing and commercial contracts.
• Drafting and reviewing legal documentation for trade finance transactions.
• Coordination with external counsel, lenders and internal business units.
• Understanding of compliance and responsible business considerations in financing.
