Legal Counsel – Banking & Regulatory Law

About the role

The Legal Counsel will support the Head of Legal in handling all legal matters for Itaú Private Bank Suisse. Based in Switzerland, the role involves providing comprehensive legal advice across banking, data protection, corporate, contracts and regulatory issues, ensuring compliance and supporting the bank’s product development and projects.

Key responsibilities

• Providing broad legal advice in a small team of two, covering banking, data protection, corporate, contracts and regulatory matters.
• Advising on the approval and distribution of financial products, development of new banking products and implementation of new projects.
• Reviewing, drafting and negotiating contracts such as distribution agreements, contracts with market data providers, trading platforms, brokers, IT service providers and intragroup service agreements.
• Drafting and reviewing corporate documents including minutes of shareholders’ meetings, board extracts, organizational regulations, by‑laws, internal policies and procedures.
• Handling requests from governmental authorities and drafting correspondence with FINMA on corporate matters.
• Supporting the front office by drafting client‑related documents.
• Leading the regulatory radar of the bank and participating in regulatory projects, providing legal requirements and advising on implementation.
• Performing minor administrative duties such as filing documents, preparing presentations and organizing calls.

Required profile

• At least 2 years of experience in a legal role, preferably within the banking industry.
• Proven experience in drafting, reviewing and negotiating contracts across interdisciplinary areas of law.
• Strong communication, teamwork and interpersonal skills; ability to interact with colleagues in Brazil, the USA and Switzerland as well as external law firms.
• Knowledge of financial industry/market regulations, data protection legislation and corporate transactions is desirable.
• Ability to work under pressure, meet deadlines and thrive in a dynamic environment.
• Proactive ownership of assigned projects.
• Master’s degree in law (Switzerland); admission to the Bar is a strong plus.
• Fluency in English (mandatory); Portuguese and/or German are a strong plus.
• Good analytical and organizational skills; ability to work independently and in an international setting.
