Legal Counsel – Corporate Finance

About the role

UBS is seeking a senior Legal Counsel to join its Transaction Banking Legal team in Zürich. You will work at the intersection of law, business and external advisors, supporting complex corporate finance transactions and distressed loan recoveries.

Key responsibilities

• Advise on structuring, documentation and execution of complex domestic and cross‑border credit financings, including export finance transactions.
• Negotiate and draft contractual documents in German and English.
• Provide clear legal advice to business partners and risk functions.
• Support distressed loan and recovery solutions.
• Contribute to the development of AI‑enabled legal processes within Group Legal.

Required profile

• Master’s degree in law and admission to the Swiss bar, preferably with an LL.M or similar qualification.
• Several years of post‑qualification experience in corporate finance transactions, either in a commercial law firm or in‑house.
• Strong interest in complex legal issues, business transactions and AI/Legal‑Tech tools.
• Excellent communication and interpersonal skills, able to cooperate with internal partners and external counsel.
• Ability to work independently under pressure and meet challenging deadlines.
• Solution‑oriented mindset with creative problem‑solving abilities.
• Fluent in German and English; knowledge of Italian or French is an advantage.
