Legal Counsel – Private Equity (Zurich)

About the role

Schroders Capital is seeking a Legal Counsel to join its Private Equity legal team in Zurich. You will support the structuring, launch and ongoing management of private equity funds and mandates, primarily serving German‑speaking clients. The role sits within a global legal function that works closely with product, tax, compliance and operations teams.

Key responsibilities

• Lead and project‑manage the legal workstreams for new fund and mandate launches.
• Partner with Private Equity Product Management to shape product innovation and define fund structures.
• Conduct structuring discussions and negotiate legal terms with investors.
• Draft, review and finalise term sheets, engagement letters and other contractual documents.
• Participate in internal project groups and coordinate with Compliance, Risk Management, Finance, Treasury and other functional teams.
• Maintain strong relationships with external counsel and ensure legal risks are identified and mitigated.

Required profile

• Experience in private equity fund formation and mandate structuring.
• Ability to manage complex legal projects across multiple jurisdictions.
• Strong communication skills in English and German.
• Proven track record of negotiating with institutional investors.
