M&A Associate – International Cross‑Border Transactions

About the role

You will join Baker’s international M&A practice in Zurich, working on cross‑border projects and advising multinational clients. The role involves close collaboration with colleagues across the firm’s global network.

Key responsibilities

• Provide legal advisory and support in cross‑border M&A transactions, including due diligence, drafting documents and negotiations.
• Draft and review share purchase agreements, asset purchase agreements, investment agreements, joint venture agreements and other corporate/commercial documents.
• Coordinate with internal specialists and external partners such as tax advisors and auditors.
• Manage multi‑jurisdictional corporate restructurings and client relationships.

Required profile

• Law degree (or equivalent) and preferably qualified solicitor in England & Wales or similar jurisdiction.
• At least eight years of M&A or corporate law experience, preferably with exposure to London and Greater China.
• Strong background in private cross‑border M&A, divestments, joint ventures, carve‑outs and corporate reorganisations.
• Experience advising on life‑science (pharma/biotech/medical device) and tech‑related transactions.
• Excellent English, mother‑tongue level, and strong command of Mandarin Chinese.
• Independent, analytical, solution‑oriented working style with proven project management skills.
