Senior Legal Counsel – Corporate

About the role

We are seeking a Senior Legal Counsel – Corporate to join our international, remote‑first team based in Switzerland. You will provide strategic legal guidance on corporate governance, transactions, and global entity structuring, directly supporting the company’s growth initiatives.

Key responsibilities

• Lead and support corporate transactions, including fundraising, mergers and acquisitions, and investments.
• Draft, review, negotiate, and manage transaction documentation and investment agreements.
• Conduct legal due diligence and ensure compliance and risk mitigation throughout transactional processes.
• Oversee corporate governance and company secretarial matters for multiple international entities.
• Manage employee equity and stock option plans, handling related legal documentation and regulatory requirements.
• Support international corporate structuring, including creation and management of new legal entities.
• Provide practical corporate legal advice to founders, executives, and internal stakeholders.
• Collaborate with finance teams, external counsel, and other business functions.
• Contribute to legal operations, process improvements, and additional business law matters as needed.

Required profile

• Master's degree in Business Law or a related discipline; LLM or business school degree is a plus.
• Qualified to practice law in France (CAPA required).
• 4–6 years of post‑graduation experience specializing in corporate law.
• Proven experience with corporate transactions, financing rounds, M&A, and governance.
• Excellent drafting, negotiation, and legal analysis abilities with strong attention to detail.
• Ability to work independently and manage multiple priorities in a fast‑paced environment.
• Full professional proficiency in French and English, both written and spoken.
