Senior Legal Counsel – International M&A & Commercial

About the role

The Senior Legal Counsel will independently manage complex, high‑value commercial agreements and lead cross‑border M&A transactions for a multinational group. The role requires close collaboration with internal stakeholders and external advisors across multiple jurisdictions, ensuring legal compliance while supporting strategic business objectives.

Key responsibilities

• Draft, review and negotiate a wide range of complex commercial contracts across several jurisdictions, aligning them with Group policies.
• Lead legal aspects of cross‑border M&A transactions, including acquisitions, divestments, joint ventures and strategic investments.
• Provide legal advice on financing transactions such as syndicated and bilateral credit facilities, working closely with the finance function.
• Manage disputes, litigation and investigations across the Group’s international operations, selecting and overseeing external counsel.
• Monitor legal and regulatory developments in all operating jurisdictions and advise the business on implementation.
• Contribute to the development and maintenance of Group‑wide legal policies, processes and best practices.

Required profile

• Master’s degree in law and admission to the Swiss Bar.
• Minimum 5 years of post‑qualification experience in a leading law firm or an international industrial company’s legal department.
• Proven track record handling complex, cross‑border matters independently.
• Strong business acumen and ability to operate in a multi‑jurisdictional environment.
• Sound judgment balancing legal risk with commercial priorities and ability to advise senior management.
• Fluent German (native) and English; additional European languages are a plus.
• Willingness to travel up to 10% of the time.
